Terms and Conditions


The following user Agreement (hence onward referred to as "Agreement") contains Terms and Conditions applicable to the use of the services provided and hosted by Meroka, as well as the Users' participation in the activities carried on by Meroka itself.

By using Meroka's services, Users agree to the following terms and conditions, including those available by hyperlink, if any.

Before becoming a User, either a Partner (also known as Offeror,) a Contender, a Spectator or every future figure/role Meroka shall feature, everyone must read, agree and accept all of the Terms and Conditions set in both this Agreement and our Privacy Policy, either contained in the primary document itself or hyperlinked to related documents.

You acknowledge and agree Meroka may amend this Agreement at any time, and from time to time, by posting the amended terms on its own website/apps. Unless otherwise stated, all amended Terms and Conditions shall automatically be effective once they are posted on our website/apps or any other online suitable mean. Users are therefore encouraged to periodically review this Agreement looking for any such changes and/or amendments.

  1. About Meroka

Meroka is an online platform connecting people/legal entities interested in offering and competing for goods and services and for the exchange of such goods and services, either for free, in exchange of some services or for a fee.

Meroka operates through Trevor Harwell, registrant of the meroka.tv domain name. Trevor Harwell is a resident of New York City.

Meroka operates online, using either a website, an app or both or any other present or future online tool.

Meroka's purpose is to connect people/legal entities (hence onward referred to as "Users") listing and competing for goods or services according to this Agreement. Depending on their roles in such exchange such Users are defined as Offeror and Contender.

Spectators are a third party, who will upvote for the Contenders' contributions.

  1. How Does Meroka Work?

Meroka is an online platform connecting Users willing to exchange products, goods or services (hence onward referred to as "Items") upon an offer and a competition for that. In order to use Meroka's services, Users must register.

Meroka connects Offeror and Contenders, allowing them to offer Items for listing and, as far as Contenders are concerned, compete for such Items.

Meroka's activity is limited to:

  • hosting and running the platform.
  • enable Users to register for accessing such platform as Offeror, Contender, Spectators or any other future figure.
  • provide a search engine for such offers. Meroka may also provide search options to narrow down Items search results by items type.
  • allow Contenders to compete for Items.
  • let Spectators vote so that the chosen Contender shall be entitled to receive the Item offered by the Offeror.
  • Meroka may be reaching out for registered Users for commercial and marketing purposes in a manner which includes, but is not limited to, using the website, app, targeted emails or any other suitable online mean in order to stimulate the use of the platform.

Meroka cannot confirm, nor be held responsible for, the accuracy or completeness of any Items description submitted by Offeror. Likewise, Meroka assumes no responsibility, and disclaims all liability, for the content, accuracy, completeness, legality, reliability, or availability of any Items.

Meroka does not have any obligation to screen any offered Items. Should Meroka find out some Items do not comply with this Agreement (see Article 3,) such Items shall be removed and Offeror either warned or banned from using the service for either a certain amount of time or indefinitely.

  1. Items Allowed

Items listed on Meroka must be the Offeror's legal property, possession and/or use.

The following items cannot be listed on Meroka for any reason:

Nudity or pornographic content

Weapons

Drugs

Illegal Substances Alcohol Live animals Persons

  1. Definition of Offeror

Any registered User, interested in listing their Items on Meroka for Contenders to apply and subsequently assign them according to this Agreement is defined as Offeror.

  1. Offeror's Rights

Each Offeror has the following rights:

  • listing their Items
  • decide upon the duration and method of the listing according to this Agreement
  • assign the Items according to this Agreement
  • withdraw the Items from listing. Should that happen, Offeror shall renounce to all applications and cannot claim any right or value accruing from them.

Offeror has the right to receive the value of all applications and submissions related to their own listing, minus a processing and managing fee which shall be due to Meroka according to a schedule which shall be either published on the website/app or elsewhere it can be seen and Article 15.

  1. Offeror's Duties

Offeror shall not list weapons, drugs, live animals and all the other items listed in Article 3.

Likewise, Offeror shall not in any way list anything which is not in their legal property, possession and/or use.

  1. Definition of Contender

Any registered User, interested in some Items, who applies for such Items, hoping to have them allocated by the Offeror according to this Agreement, is defined as Contender. When speaking in general terms as per this Agreements, Contender may also be referred to as Contenders.

  1. Communication between Users

Users can only communicate using Meroka's platform.

Outside communication shall constitute a breach of the Agreement and Meroka shall not be able to assist any parties for whichever fact occurring as a consequence of such breach.

  1. Contender's Right

Each Contender has the right to browse the complete listing, narrow search options and ask Offeror for more detailed information.

Contender has the right to know the progress of the listing she is either applying for or is interested in at any time.

Contender has the right to report any suspect listing. Suspect may also arise from the fact Contender claims any listing from any Offeror be a violation of Articles 3 and/or 6.

  1. Users' Duties

Users must operate through an username. Usernames shall no contain obscenity and discrimination of any kind, including but not limited to religion, gender, sexual preferences, political orientation and more.

No User can have more than one User account, unless User operates under a business name or through a legal entity which is totally separated from her own identity.

  1. Applying for Items

In order to exercise her right to contend for the Item, a fee may be required.

No previous fee is requested or required fin any case or browsing the listing and the Contender cannot be asked to pay any upfront amount to be able to access such listing at any time.

  1. Duration and types of listing

Offeror has the right to decide the timeframe for the submission of material before Spectators show their preferences.

Such option must be clearly visible in the listing, for prospects to decide whether or not to contend.

Every listing and submission is final.

Contenders must be able to check the progress of the listing at any given time, either for time left or percentage of applications reached, directly in the listing.

  1. Allocation

Offeror shall be able to check all the Contenders during and after the listing according to Article 12.

Item shall be assigned to the Contender who will win the contest for the assignation of the Item.

  1. Delivery, Performing or Implementation of Items

Listing shall be considered a contractual obligation. Items shall be duly delivered or executed by the Offeror.

Listing is a legal binding and obligation for the Offeror. Offeror shall therefore perform all necessary operations to fulfill complete allocation and delivery, performance, implementation of the Items.

Meroka shall not in any way be held responsible for the Offeror's lack of comply.

Should that happen, and should an Offeror be enforced to deliver her obligation by way of a sentence or similar act, Meroka shall provide Contender with Offeror's data.

  1. Fees for Meroka

For its services, Meroka shall charge Offeror a fee.

  1. Governing Law

This Agreement shall be ruled and governed by the laws of the State of New York, which shall also serve as Place of Jurisdiction
